Prosona Terms of Service

1. Agreement

These Terms govern your use of Prosona. By creating an account you agree to them. If you are agreeing on behalf of a business, you represent that you have authority to bind it.

Prosona is operated by Prosona LLC, a California limited liability company, 4 Hutton Centre Dr., Ste 250b, Santa Ana, CA 92707.


2. What Prosona is

Prosona provides software for publishing a professional profile page and capturing inquiries from it, including an AI voice assistant that answers calls and web conversations on your behalf and records them.

Prosona is a software tool. It is not a party to your relationship with your clients, and it does not provide professional services of any kind — legal, medical, financial, or otherwise. Everything your assistant says is said on your behalf and is your responsibility.


3. Your account

You must be 18 or older. Keep your credentials secure and tell us promptly if you suspect unauthorized access. You are responsible for activity under your account.

We strongly recommend enabling two-factor authentication where offered.


4. Your content and your clients' information

You keep ownership of everything you put into Prosona — your profile, services, testimonials, videos, and the inquiries your assistant captures.

You grant us a limited license to host, process, and display that content solely to operate the service for you.

Inquiry information belongs to you and your clients, not to us. We process it on your behalf. We do not sell it, use it for advertising, or use it to market to your clients. We may use aggregate, non-identifying operational data to keep the service running and improve it.

You are responsible for your own legal obligations to the people who contact you — including professional confidentiality duties, your own privacy policy, and any consent your profession or jurisdiction requires. Prosona provides the recording and AI disclosure described in Section 6; that covers the disclosure itself, not your other obligations.


5. Healthcare and Protected Health Information

This is a limit on who may use the service, not boilerplate. Read it.

Prosona is not HIPAA-compliant and is not offered for use with Protected Health Information.

You represent and warrant, on an ongoing basis, that:

(a) You are not a Covered Entity or Business Associate as defined under HIPAA, or, if you are, that you will not use Prosona in any way that causes Protected Health Information to be created, received, maintained, or transmitted through it.

(b) You will not submit Protected Health Information to Prosona, and you will not configure your assistant to solicit it.

(c) You will notify us before your status changes — for example, if you begin submitting claims electronically to health plans, which is what makes a healthcare provider a Covered Entity regardless of whether you accept insurance for every patient.

We have not signed a Business Associate Agreement with you, and we will not sign one under these Terms. Absent a separately executed BAA, we cannot lawfully handle PHI on your behalf, and neither can you lawfully route it to us.

If you are a healthcare provider who does not bill health plans electronically, you are generally not a Covered Entity under HIPAA and may use Prosona — but other laws may still apply to you, including state medical-confidentiality statutes (California's Confidentiality of Medical Information Act, for example, reaches licensed providers regardless of how they bill) and consumer health-data laws in states such as Washington and Nevada. Complying with those is your responsibility, and you should confirm your position with your own counsel rather than relying on this paragraph.

We may suspend or terminate any account we reasonably believe is transmitting PHI.

You confirm these representations when you create your account, and they are recorded with the date of your acceptance.


6. The AI assistant, recording, and consent

Your assistant identifies itself as AI and states that the call is recorded, at the start of every conversation, to every caller. You may not disable, remove, edit, or instruct your assistant to contradict this disclosure. It exists to satisfy AI-disclosure and all-party recording-consent laws, and removing it would expose both of us.

You are responsible for the substance of your assistant's instructions. You may not configure it to:

  • give professional advice you are not licensed to give;
  • claim to be a human being, or deny being AI;
  • make guarantees about outcomes, pricing, or results you cannot honor;
  • solicit Protected Health Information, government identifiers, or payment card details.

AI systems can make mistakes, including stating something inaccurate. You are responsible for reviewing what your assistant tells your clients, and you accept that risk as a condition of using an automated assistant.


7. Acceptable use

You may not use Prosona to send unsolicited bulk messages, to make outbound calls to people who have not asked to hear from you, to impersonate anyone, to break the law, to infringe others' rights, or to interfere with the service's operation or security.

Telephone numbers provisioned through Prosona are for inbound inquiries from people who chose to contact you. Using them for outbound telemarketing is prohibited and may violate the TCPA and state law.

Prosona does not currently offer outbound calling. If we add it, it will come with its own consent requirements and these Terms will be updated before it becomes available to you.


8. Fees, promotional codes, and cancellation

Prosona is $119.95 per month. There is no free trial: your first month is charged when you subscribe, and each month after that is charged in advance on the same date.

Promotional codes. A code may reduce or waive your fee for a stated number of months. A payment method is required at signup even when a code brings your first charge to $0; we store it and do not charge it while the discount covers your full fee. When the promotional period ends, the subscription continues automatically at the regular price and we charge the payment method on file. We tell you how long a code lasts when we give it to you. You can cancel before the discount ends, or at any time, from the billing portal in your dashboard.

Fees are billed in advance and are non-refundable except where required by law. You can cancel any time from the billing portal in your dashboard; cancellation takes effect at the end of the current billing period.

What happens when you cancel: your assistant is paused and your phone number stops routing to it. Your number is held for 30 days in case you come back, then released and no longer recoverable. Your account data and inquiries are retained for 90 days, then deleted. Export anything you want to keep before then.

If a payment fails, you have 7 days to update your payment method before your assistant is paused. Your data and phone number are retained during that period.

We may change pricing with at least 30 days' notice before it applies to you.


9. Service availability

We aim for continuous availability but do not guarantee it. Prosona depends on third-party providers — including telephony, AI, hosting, and payment services — and their outages will affect us. No uptime SLA is offered under these Terms.

We may modify or discontinue features. If we discontinue something you materially rely on, we will give reasonable notice.


10. Disclaimers and limitation of liability

The service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost business, lost data, or missed or mishandled leads.

Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim arose.

Some jurisdictions do not allow these limits; where that is so, they apply to the maximum extent permitted.


11. Indemnity

You will defend and indemnify us against claims arising from your use of the service, your content, your assistant's instructions and statements, your professional services, your handling of client information, or your breach of these Terms — including any claim arising from Protected Health Information you submitted in breach of Section 5.


12. Termination

You may cancel any time. We may suspend or terminate an account for breach of these Terms, non-payment, or activity that creates legal risk for us or our providers. Where practical we will give notice and an opportunity to fix the problem first.

Sections 4, 5, 10, 11, and 13 survive termination.


13. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The exclusive venue for any dispute not subject to arbitration is the state and federal courts located in Orange County, California, and you consent to jurisdiction there.

Informal resolution first. Before filing anything, contact us at the address in Section 15. Most disputes are resolved this way, and we will make a genuine effort to.

Arbitration. If we cannot resolve a dispute within 30 days, it will be settled by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Orange County, California. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. Disputes will be brought only in an individual capacity, not as a plaintiff or class member in any class, collective, or representative proceeding. You are giving up the right to have a dispute heard by a judge or jury, and the right to participate in a class action.

Exceptions. Either party may bring a claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property or address unauthorized access.

If the class action waiver is found unenforceable, the arbitration provision does not apply to that dispute.


14. Changes

We may update these Terms. Material changes will be emailed to you at least 30 days before they take effect. Continuing to use Prosona after that means you accept them.
